This agreement is between purchaser (Client) and Cove Web Design (CWD) 

AUTHORIZATION

When the Client engages CWD for the specific purpose of designing and/or improving a web site, the Client hereby authorizes CWD to publish the design project on an Internet Service Provider (ISP)/Web Presence Provider (WPP) computer (hereinafter referred to as "Hosting Service").  The Client may elect to use the hosting service provided by CWD or of a third party.  When using a third party hosting service, the Client hereby authorizes the web hosting service to provide CWD with "write permission" for the Client’s web page directory, cgi-bin directory, and any other directories or programs which need to be accessed to publish this project.  The Client also authorizes CWD to publicize their completed web site to Web search engines, as well as other Web directories and indexes.

FEES & PAYMENT

All fees are payable in US dollars.

An advance payment of 25% of the estimated costs shown on the quotation will be required prior to any work beginning

Payment will be accepted by check, Visa, MasterCard, Discover, American Express or PayPal.  Checks returned by the bank as unpaid for any reason, will be liable for a "returned check" charge of $25.

COPYRIGHT AND TRADEMARKS

The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to CWD for inclusion in the Web Design Project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend CWD from any liability (including attorney's fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client.

Copyright to the finished web design site, including any source code, created for the client, will be held by CWD until payment of the final invoice.  At that time, it will become the property of the client.   All Web Design Projects will contain a copyright with a link to CWD's Design Services Web Site, and CWD may list the Client in the Portfolio of CWD's web site.  This benefits the Client as an additional external link to the Client's site.

LIABILITY

CWD's total aggregate liability to Client for any claim in contract, tort, negligence or otherwise arising out of or in connection with the provision of the services shall be limited to the charges paid by the Client in respect of the services which are the subject of any such claim.

In any event no claim shall be brought unless the Client has notified CWD of the claim within one year of it arising.

CWD undertakes no liability whatsoever for the content of Client's websites and hereby excludes all liability of any kind for the publication of information of whatever nature on Client's websites.

LAWS AFFECTING ELECTRONIC COMMERCE

The Client is solely responsible for complying with such laws, taxes and tariffs, and will hold harmless CWD from any claim, suit, penalty, tax or tariff arising from the Client's use of internet electronic commerce.

INTERNET ETIQUETTE

CWD respects freedom of speech and expression, however reserves the right of refusal to create sites that are pornographic, hateful, racist, lewd, harmful, for the promotion of illegal activities or otherwise offensive.

PROJECT DELIVERY

CWD provides free hosting services for the first year and will publish the final web site design project upon receipt of final payment.  If the Client elects to use another hosting service, upon receipt of full payment, the web design project will either be delivered to the Client via diskette or be published to that hosting service provided it allows CWD full access to the Client’s account via FTP (File Transfer Protocol). The Client will then be solely responsible for any and all hosting service charges.

CONFIDENTIALITY

CWD is committed to honoring the privacy of our clients and visitors requesting information.  Only information that the Client specifies, will be used on the Client's web site.  Information that is collected that will not be used on the Client's web site is held in strict confidence.  This information will not be released or sold to any third party for any reason unless permission is granted from the client. The release of certain information, as required to submit the client's site to search engines and directories, will be done so only after permission is granted from the Client
